1. Acceptance of these Terms
These Terms of Service (“Terms”) are an agreement between you and Craftsman Industries, Inc., doing business as Craftsman Kitchens (“Craftsman,” “we,” “us”). By accessing app.craftsmankitchens.com (the “Service”), signing in, or opening a document link sent to you through the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
The Service is Craftsman’s business application, including an electronic-signature feature that lets Craftsman send documents for electronic review and signature and lets recipients review, complete, sign, or decline those documents. Craftsman is the operator of the platform; the sender and signers of any given document are the parties to that document, and Craftsman’s operation of the platform does not make it a party to documents it did not sign.
3. Electronic records and signatures
Before viewing or signing any document, each signer is shown an Electronic Record & Signature Disclosure and must affirmatively consent to conducting business electronically. You agree that electronic signatures captured through the Service — drawn, typed, uploaded, or applied from a saved signature or initials — are intended as legal signatures and have the same force and effect as handwritten signatures to the fullest extent permitted by the U.S. ESIGN Act (15 U.S.C. § 7001 et seq.) and applicable state law, including the Uniform Electronic Transactions Act (UETA). Records of consent, viewing, signing, and delivery are kept in a tamper-evident audit trail attached to each completed document.
4. Signing links and account security
Signing links are personal credentials addressed to a named signer. You agree not to forward signing emails or share signing links, and to notify the sender promptly if you receive a link intended for someone else or believe a link has been compromised. If you hold a Craftsman account, you are responsible for safeguarding your password and for activity under your account.
5. Acceptable use
You agree not to: (a) sign or attempt to sign as anyone other than yourself; (b) interfere with, probe, or disrupt the Service; (c) upload malicious code or unlawful content; (d) use the Service to send documents that are fraudulent or that you have no authority to send; or (e) attempt to alter a document, audit trail, or verification record.
6. Documents and retention
When a document completes, every party receives access to the executed PDF, which includes the full audit trail (Certificate of Evidence). You are responsible for downloading and keeping your own copy. Craftsman retains completed documents and their audit records for its business purposes but does not guarantee perpetual availability; your copy is your record.
7. Privacy
The Service collects the information reasonably needed to operate — names, email addresses, document contents, signature images, and technical signing evidence such as IP address, browser identification, and timestamps. This information is used to provide the Service, to build the legal audit trail of each document, and for Craftsman’s related business purposes. It is not sold to third parties.
8. Intellectual property
The Service, its software, and its branding belong to Craftsman or its licensors. Documents belong to their parties. You receive only the limited right to use the Service as described in these Terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTSMAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CRAFTSMAN DOES NOT PROVIDE LEGAL ADVICE; THE ENFORCEABILITY OF ANY PARTICULAR DOCUMENT DEPENDS ON ITS CONTENT AND APPLICABLE LAW.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRAFTSMAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. CRAFTSMAN’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR, IF GREATER, THE AMOUNT YOU PAID CRAFTSMAN TO USE THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM.
11. Indemnification
You will indemnify and hold Craftsman harmless from claims arising out of your breach of these Terms or your misuse of the Service.
12. Governing law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Utah, whose jurisdiction you consent to.
13. Changes to these Terms
Craftsman may update these Terms from time to time. Each version is numbered and dated at the top of this page; continued use of the Service after a change takes effect constitutes acceptance. The version in effect when a signer consents to a document is recorded in that document’s audit trail.
